Online sourcing service terms - The Sample Sales Team Ltd

These terms apply to the services we provide through our website, including any orders you make. Please read them carefully. They set out important information about your rights, and our rights and obligations. Please read clauses 13 and 15 particularly carefully as they set out important limits on your rights and exclusions of our liability to you. You must agree to these terms before you place any order and must be at least 18 years old.

  1. These terms
  1. All references to ‘we’, ‘us’ or ‘our’ in these terms are to The Sample Sales Team Ltd. All reference to ‘you’ or ‘your’ is to the person placing an order on our website.
  2. We may make changes to these terms at any time. However, the terms which apply to your order will be those in force at the time you submitted your order to us. Please print out or save a copy of these terms and any emails from us for your records.
  3. Your use of our website is governed by our Website Terms of Use.
  1. Our services
  1. We operate as a specialist sourcing service and procure items exclusively upon client request. As such, we act as agents on behalf of our clients and do not hold inventory or maintain standard retail stock.  
  2. Our services primarily consist of specialist sourcing services and procurement and include: a) access to specialist luxury boutiques and networks through our relationships and connections; b) time and expertise in locating rare items; c) relationship leverage for access and competitive pricing; d) cross-border logistics and coordination; e) rare expertise in sourcing luxury items.  
  3. When you engage us, you are commissioning us to source a specific luxury item on your behalf. Once we have sourced an item you have asked us to source, the services will be fully performed. We set out more about what this means for you in clause 13 below.
  4. We will provide the services within the period agreed with you during the order process or if no period is specifically agreed, within a reasonable period.
  5. For services provided over a period of time, any completion dates stated during the order process, or in your order acknowledgment or order confirmation emails, are estimates.
  6. If there might be a delay before we can start or restart the services, we will contact you to let you know as soon as reasonably possible. But we are not liable to you for any losses you incur as a result of any delay caused by circumstances beyond our reasonable control (for example, severe weather, accidents or unpredictable traffic or transportation delays).
  7. Where a delay is caused by circumstances beyond our reasonable control, we will usually try to start or restart the services as soon as the issue causing the delay has been resolved. If the services are delayed by more than 7 days we will contact you to let you know and offer you the option to either continue waiting until the issue has been resolved (if this is possible) or to cancel your order and get a full refund or refund of any payments made by you for any services that we have not yet provided.
  8. We are not liable to you for any losses you incur where the services are delayed or cannot be performed because you fail to provide us with adequate instructions or information to allow us to perform the services.

 

 

  1. Orders
  1. Please check your order carefully and correct any errors before you submit it to us.
  2. Your order is an offer to engage us on these terms. After you place your order, we will send you an acknowledgment email to let you know that we have received your order, and to confirm if we have started the sourcing process and likely timescales applicable to your order.
  3. If we do not accept your order, for example because we cannot source the item you have requested, or it  is unavailable for some reason, or because you are under 18, or there has been a mistake regarding any pricing or descriptions on our website, we will contact you using the details you provided when you placed your order. We have the right to reject any order for any reason.
  4. The services we provide and items we source are based on information (measurements and requirements) that you provide to us. You are responsible for ensuring that the information is correct. We are not liable to you for any losses you incur if the services or items are unsuitable because of your failure to provide correct information.  
  1. Availability
  1. We source all orders from independent third parties subject to availability. We are not affiliated with those third parties and do not hold any stock. We cannot guarantee that the services or any items will be available at any given time.
  2. In certain circumstances beyond our reasonable control, for example where there has been a change in the law or if items are no longer available, we may need to stop providing certain services or supplying certain items. If this happens and it affects your order, we will notify you by email, cancel your order and provide you with a refund of any payments made by you for any affected services that we have not yet provided.
  1. Making changes to your order

7.1        If you would like to make any changes to your order after you have submitted it, please contact us as soon as possible and we will let you know if it is possible to change your order.

  1. Descriptions
  1. Descriptions of the services and items we source are set out on our website. Please read the descriptions carefully.
  2. Any pictures and images provided on our website (including of packaging) are for illustration purposes only. Items and their packaging may vary slightly from those pictures or images.
  3. We cannot guarantee that the colours displayed on your device will match exactly the appearance of the items. The colours of the items displayed on our website may vary depending on, amongst other things, the lighting used for photography and the specific device you are using and your settings.
  4. All weights, sizes and measurements set out on our website are as accurate as possible but there may be a small tolerance of difference from the actual item sourced.
  1. Prices
  1. Prices for the services include the items we source and are set out on our website (procurement service: 20%;  product: 80%).  
  2. Prices may reflect availability and rarity of items you ask us to source and the associated time, cost and expense of sourcing. Accordingly, we may change prices and delivery charges at any time. Except as set out in clause 9.3 below, such changes will not affect existing orders.
  3. If there has been an error on our website regarding the pricing of any of the items and this affects your order, before we send you an order confirmation email, we will try to contact you using the contact details you provided when you placed your order. We will give you the option to re-confirm your order at the correct price or to cancel your order. If we are unable to contact you, we will treat the order as cancelled and notify you by email.

  1. Payment
  1. Given the nature of the services, we require full payment in advance when you place your order. We will take this payment from your card once your order has been fulfilled. If we are unable to fulfil your order, no payment will be taken.
  2. We accept all major credit and debit cards. All credit card and debit card payments need to be authorised by the relevant card issuer.
  1. Delivery of items
  1. We will deliver the items we source to the address you specified when you placed your order using third party courier or postal services.
  2. Once delivered to your address or in accordance with the delivery instructions you provided to us, you are responsible for the items. We are not liable to you if the items are stolen or damaged after they have been delivered to you. This does not affect your legal rights if the items are faulty or misdescribed.
  3. We inspect the condition of all items prior to dispatch so there should not be any issues with quality. But please examine the items promptly after delivery and notify us of any fault or damage within 48 hours of receipt.
  1. Delivery dates and costs
  1. Information on delivery options and costs are set out on our website. We will give you available delivery options to choose from when you place your order.
  2. We expect to deliver your order within the delivery period specified and will do all that we reasonably can to do so. But any delivery dates stated during the order process, or in your order acknowledgment or shipping confirmation emails, are estimates, unless we have agreed a specific delivery date with you. Estimated timelines are typically 10 business days for addresses in the UK but will vary for addresses internationally.
  3. If your delivery is delayed, we will contact you to let you know as soon as reasonably possible. But we are not liable to you for any losses you incur if delivery is delayed because of circumstances beyond our reasonable control (including by way of example only, because of severe weather, accidents or unpredictable traffic or transportation delays).
  1. Cancellation, returns and refunds
  1. Under applicable consumer law in the UK, amongst other things, consumers have the right to change their mind and cancel a website order for services. They have 14 days from the date of their order confirmation email to cancel their order. But if they ask the service provider to start providing services during the 14-day cancellation period and the service provider does so, the consumer’s cancellation rights will be affected as follows. Firstly, the consumer will lose their right to cancel once the services are fully performed and will not be entitled to a refund even if the cancellation period has not expired. Secondly, if the services have not been fully performed, they will be required to pay for the services provided up to the time that they told the service provider that they want to cancel.
  2. We do not own the items offered through our platform, which allows us to access preferential pricing through our insider network and pass significant savings on to our community. In order to maintain the level of discount, we expect our members to exercise their statutory rights in a responsible manner. If you are at all unsure about the size or style of an item please do not order it. In placing an order with us and ticking the relevant box when you place your order, you are expressly asking that we provide the services during the 14-day cancellation period. This means that if we have provided any of the services you asked us to during the 14-day cancellation period, if you cancel, we may make deductions from any refund due to you for the services we provided up to the time that you told us that you want to cancel. And once we have sourced an item you have asked us to source, the services will be fully performed, and you will not be entitled to cancel the services or receive a refund.  
  3. If you are entitled to cancel your order and receive a refund, we will issue the refund no later than 14 days after the day on which you tell us that you want to cancel. We will issue the refund to the payment method you used when placing your order.

  1. Events beyond our control

14.1        We are not liable to you if we fail to comply with these terms because of circumstances beyond our reasonable control.

  1. Our responsibility to you
  1. If we breach these terms or are negligent, we are liable to you for foreseeable loss or damage that you suffer as a result. By ‘foreseeable’ we mean that, at the time the contract was made, it was either clear that such loss or damage would occur or you and we both knew that it might reasonably occur, as a result of something we did (or failed to do).
  2. We are not liable to you for any loss or damage that was not foreseeable, any loss or damage not caused by our breach or negligence, or any business loss or damage.
  3. Nothing in these terms excludes or limits our liability for any death or personal injury caused by our negligence, liability for fraud or fraudulent misrepresentation, or any other liability that the law does not allow us to exclude or limit.
  1. Your information

16.1        Any personal information that you provide to us will be dealt with in line with our privacy notice available on our website. It explains what information we collect and hold about you, and how we collect, store, use and share such information.

  1. No third party rights

17.1        No one other than us or you has any right to enforce any of these terms.

  1. Transfer of rights
  1. We may transfer our rights under these terms to another business without your consent, but we will notify you of the transfer and make sure that your rights are not adversely affected as a result.
  2. You are not allowed to transfer your rights under these terms to anyone without our prior written consent.

  1. Governing law and jurisdiction
  1. The laws of England and Wales apply to these terms, although if you are resident elsewhere you will retain the benefit of any mandatory protections given to you by the laws of that country.
  2. Any disputes will be subject to the non-exclusive jurisdiction of the courts of England and Wales. This means that you can choose whether to bring a claim in the courts of England and Wales or in the courts of another part of the UK in which you live.
